These Terms of Service ("Terms") govern your access to and use of the website at weebie.net, the hosted demonstration environment at demo.weebie.net, and any related content or services we make available (together, the "Services"), all provided by WeeBie Media, LLC ("WeeBie," "we," "us," or "our"). Please read them carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who May Use the Services
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" refers to that organization.
2. The Website and the Demo
The website provides information about WeeBie Monitor and related resources. The live demo is a shared, evaluation-only environment provided for the sole purpose of exploring the product's functionality. Access to the demo may be provisioned, rate-limited, reset, suspended, or withdrawn at any time. Because the demo is a shared environment, you must not enter real confidential, personal, regulated, or otherwise sensitive data into it. Your use of the Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms.
3. The WeeBie Monitor Software
The WeeBie Monitor software application is licensed, not sold, and is governed by our End User License Agreement together with any separate order or subscription agreement you enter into with us. These Terms govern the Services (website and demo); the EULA governs the software.
4. Intellectual Property
The Services, including all text, graphics, logos, the WeeBie name and marks, and the arrangement of the foregoing, are owned by WeeBie or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services. Open-source components distributed with our software remain governed by their own licenses; see Third-Party Licenses.
5. Feedback
If you send us feedback, suggestions, or ideas about the Services or the software, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback for any purpose, without obligation or compensation to you.
6. Acceptable Use
You agree not to misuse the Services. Prohibited conduct is described in our Acceptable Use Policy and includes, without limitation, unlawful activity, infringing others' rights, attempting to gain unauthorized access, disrupting the Services, and scraping or overloading our systems. Security research is welcome under the terms of our Security & Responsible Disclosure Policy.
7. Third-Party Links and Services
The Services may link to third-party websites or resources. We do not control and are not responsible for third-party content, products, or practices. Your use of third-party services is at your own risk and subject to their terms.
8. Privacy
Our collection and use of information in connection with the Services is described in our Privacy Policy. By using the Services, you consent to that processing.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE DEMO REFLECTS PRODUCTION BEHAVIOR. YOU USE THE SERVICES AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEEBIE AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless WeeBie from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
12. Copyright Complaints
We respect intellectual-property rights. If you believe content on the Services infringes your copyright, send a notice with the information required under the U.S. Digital Millennium Copyright Act (identification of the work, the material, your contact information, a good-faith statement, and a statement under penalty of perjury) to support@weebie.net.
13. Changes to the Services or These Terms
We may modify the Services or these Terms at any time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Hillsborough County, Florida, and you consent to their personal jurisdiction.
16. Export and Government Use
You agree to comply with all applicable export-control and sanctions laws. If you are a U.S. Government end user, the Services and software are "commercial items" as defined in applicable federal acquisition regulations, and any use, reproduction, or disclosure is subject to the restrictions in our End User License Agreement.
17. Miscellaneous
These Terms, together with the policies referenced in them, are the entire agreement between you and WeeBie regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
